Terms of Service

These Terms of Service ("Terms") govern your access to and use of the vem website and the hosted vem Cloud service (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

1. What vem Is

vem is a local-first project memory system for AI agents and developers. It stores workspace context in .vem/ (gitignored by default) and syncs snapshots to the cloud to provide semantic search, citations, and analytics.

Some vem components are open source (for example the CLI and MCP server) and may be used locally without the hosted Service, subject to the license in the repository. These Terms apply to the hosted Service and website.

2. Accounts

  • You must provide accurate information and keep your account secure.
  • You are responsible for activity under your account and for any API keys, tokens, or credentials you configure.
  • If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Customer Content

"Customer Content" includes the repository data and memory artifacts you connect, upload, or otherwise make available to the Service, such as .vem/ tasks, decisions, changelog entries, context, and (if enabled) repository files, diffs, and metadata.

  • You retain ownership of Customer Content.
  • You grant vem a limited license to host, store, process, and display Customer Content and to create derived data (such as embeddings and indexes) solely to provide and secure the Service.
  • You represent that you have all rights necessary to provide Customer Content to the Service, including rights to connect repositories and index their contents.

4. Git Verification Model

The Service distinguishes between "pending" updates (immediate sync snapshots) and "verified" updates (snapshots matched to Git events such as a push). Verification uses commit linkage metadata, including git_hash and snapshot_hash. Verified updates are used to provide canonical citations to commits, diffs, and files.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, or abusive purposes.
  • Attempt to bypass security controls, rate limits, or access restrictions.
  • Upload or index content that you do not have the right to use or that violates others' privacy or intellectual property rights.
  • Introduce malware, attempt to disrupt the Service, or interfere with other users.
  • Submit secrets or sensitive personal data unless you intend that data to be processed by the Service (even with redaction and secret-scanning, no system is perfect).

6. Early Access and Future Commercial Terms

During the MVP period, access may be limited to invite-only cohorts with participation requirements. Public commercial terms (including any paid plans) will be published before general availability and apply prospectively.

7. Third-Party Services

The Service may integrate with third-party services (for example GitHub for repository access, Supabase for authentication, payment providers (if commercial features are enabled), Resend for transactional email, and model providers for embeddings). Your use of third-party services is governed by their terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". vem DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Outputs such as search results, citations, and AI-derived summaries may be inaccurate; you are responsible for verification before acting on them.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access to the Service if you violate these Terms or if needed to protect the Service, users, or third parties.

12. Changes

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example by posting the updated Terms on this page). Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by applicable law. Any dispute arising from or related to these Terms or the Service will be resolved in accordance with applicable law. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
